MRTX Stock Alert: Halper Sadeh LLC Is Investigating Whether the Sale of Mirati Therapeutics, Inc. Is Fair to Shareholders

NEW YORK--(BUSINESS WIRE)--Halper Sadeh LLC, an investor rights law firm, is investigating whether the sale of Mirati Therapeutics, Inc. (NASDAQ: MRTX) to Bristol Myers Squibb for $58.00 per share in cash is fair to Mirati shareholders. Additionally, Mirati shareholders will also receive one non-tradeable Contingent Value Right per Mirati share, entitling its holder to receive a one-time potential payment of $12.00 in cash upon acceptance by U.S. FDA of a new drug application for MRTX1719 for the treatment of either locally advanced or metastatic NSCLC in patients who have received no more than two prior lines of systemic therapy within seven years after the closing of the merger.

The investigation concerns whether Mirati and its board of directors violated the federal securities laws and/or breached their fiduciary duties to shareholders by failing to, among other things: (1) obtain the best possible consideration for Mirati shareholders; (2) determine whether Bristol Myers is underpaying for Mirati; and (3) disclose all material information necessary for Mirati shareholders to adequately assess and value the merger consideration. On behalf of Mirati shareholders, Halper Sadeh LLC may seek increased consideration for shareholders, additional disclosures and information concerning the proposed transaction, or other relief and benefits.
