In a recently filed federal class action complaint, Tremor Video and certain of its officers and directors were charged with violating certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges that among other things, defendants’ misrepresented and/or failed to disclose that at the time of the IPO that: (i) due to the shift of the online advertising market towards mobile browsing, not desktop browsing, Tremor Video was at a significant disadvantage to its competitors; and (ii) Tremor Video was losing sales to competitors due to its lack of mobile browsing capabilities. According to the complaint, Tremor Video’s shares have declined 60% since the IPO.
