PALM BEACH, Fla.--(BUSINESS WIRE)--Chatham Lodging Trust (NYSE: CLDT) today announced it has priced its public offering of 4 million common shares of beneficial interest, $0.01 par value per share, at $16.00 per share, for total gross proceeds of $64 million, prior to underwriting discounts and offering expenses.
The offering is expected to close on February 8, 2011. The underwriters have a 30-day option to purchase up to an additional 600,000 shares to cover overallotments, if any. All of the shares are being offered by the company.
The company will contribute the net proceeds of the offering to its operating partnership, which will use approximately $18 million of the net proceeds to complete the acquisition of a hotel located in the greater Pittsburgh, Pennsylvania area, which the company currently has under contract to purchase, and the remaining net proceeds to pay down debt under the company’s credit facility.
A registration statement relating to the offering of the company’s common shares discussed above was declared effective by the Securities and Exchange Commission on February 2, 2011.
