Re: Results of AGM
The board of directors of the Company wish to announce that the Annual General Meeting (the AGM) of the Company was held at the offices of A&L Goodbody, 3 Dublin Landings, North Wall Quay, Dublin 1, Ireland on Monday, 17 June 2024 at 10:00 am (Irish time). The following items were approved by the shareholders of the Company:
- To receive and consider the statutory financial statements for the year ended 31 December 2023 and the report of the directors on those statements and the report of the statutory auditors on those statements and that report (this item did not require a resolution to be passed).
- The review by the shareholders of the Company's affairs (this item did not require a resolution to be passed).
- To appoint KPMG in Ireland as statutory auditors of the Company, in place of PricewaterhouseCoopers who had resigned voluntarily in compliance with Article 17 of the Regulation (EU) No 537/2014, with effect from the financial year commencing on 1 January 2024 pursuant to section 383(2)(b) of the Companies Act 2014 (ordinary resolution 1).
- To authorise the directors to fix the remuneration of the statutory auditors for the year ending 31 December 2024 (ordinary resolution 2).
