ALAMEDA, Calif.--()--Astra Space, Inc. (“Astra” or the “Company”) (Nasdaq: ASTR) announced today that it has filed its definitive Information Statement pursuant to Section 14(c) of the Securities Exchange Act of 1934 describing the Agreement and Plan of Merger (as amended or otherwise modified in accordance with its terms, the “Merger Agreement,” and such merger transaction, the “Merger”), dated as of March 7, 2024, by and among Apogee Parent Inc., a Delaware corporation (“Parent”), Apogee Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), and the Company, a copy of which is attached to the Information Statement. If the Merger is completed, the Company’s Class A common stock will be delisted from Nasdaq and deregistered under the Exchange Act.
