DENVER--(BUSINESS WIRE)--SSR Mining Inc. (NASDAQ/TSX: SSRM, ASX: SSR) ("SSR Mining" or the “Company") announced that, in connection with its previously announced normal course issuer bid (“NCIB”) to purchase for cancellation up to 10,200,000 common shares of the Company (“Common Shares”), the Company has entered into an automatic share purchase plan (“ASPP”) with a designated broker. The ASPP is intended to facilitate repurchases of Common Shares under the NCIB when the Company would ordinarily not be permitted to purchase such shares due to regulatory restrictions and customary self-imposed blackout periods.
Pursuant to the ASPP, purchases of Common Shares will be made by the designated broker based on pre-established purchasing parameters, without further instructions by the Company, in compliance with the rules of the Toronto Stock Exchange (“TSX”). The ASPP is also intended to meet the requirements of a Rule 10b5-1 trading plan under the U.S. Securities Exchange Act of 1934, and transactions under the ASPP, and under the NCIB generally, will be conducted in accordance with Rule 10b-18 under the U.S. Securities Exchange Act of 1934. The ASPP has been pre-cleared by the TSX, is expected to be implemented on November 28, 2023 and will end no later than June 19, 2024.
Outside of the ASPP, Common Shares may be purchased under the NCIB based on management’s discretion, in compliance with TSX rules and applicable securities laws. The NCIB allows for SSR Mining to purchase Common Shares over the twelve-month period that began June 20, 2023 and ends June 19, 2024.
