STORE Capital Corporation’s Stockholders Approve Acquisition by GIC and Oak Street

SCOTTSDALE, Ariz.--()--STORE Capital Corporation (NYSE: STOR, “STORE Capital” or the “Company”), an internally managed net-lease real estate investment trust (REIT) that invests in Single Tenant Operational Real Estate, today announced that, at the concluded special meeting of stockholders held today, its stockholders approved the acquisition of the Company by affiliates of GIC, a global institutional investor, and funds managed by Oak Street, a Division of Blue Owl.

The Company will provide final vote results for the special meeting, as certified by the independent Inspector of Election, on a Current Report on Form 8-K to be filed with the U.S. Securities and Exchange Commission.

The transaction is expected to close in the first quarter of 2023, subject to the satisfaction of customary closing conditions. Under the terms of the merger agreement announced on September 15, 2022, among other things, the Company’s stockholders will receive $32.25 per share in cash. Upon closing of the transaction, the Company’s common stock will no longer be listed on any public market.
