CAMDEN, N.J.--(BUSINESS WIRE)--American Water Works Company, Inc. (NYSE: AWK) today announced a change to its 2020 Annual Meeting of Shareholders to an audio-only virtual meeting format from an in-person meeting. Following guidance from the U.S. Centers for Disease Control and Prevention and the State of New Jersey, the change was made for the health and safety of American Water’s shareholders, directors, officers, employees, other attendees and the public due to the coronavirus (COVID-19) pandemic.
As previously announced in American Water’s proxy statement filed with the Securities and Exchange Commission on March 31, 2020, the annual meeting will be held on May 13, 2020, at 10:00 a.m. Eastern Time. Shareholders of record as of March 17, 2020, the record date for the annual meeting, or persons that hold a legal proxy for such a shareholder, are entitled to vote at the annual meeting. Due to the ongoing health and safety concerns associated with the COVID-19 pandemic, the annual meeting will be held via an audio-only virtual meeting rather than an in-person meeting. In-person attendance at the annual meeting will not be permitted.
How to Participate in the Virtual Meeting
American Water has designed the virtual meeting format to ensure that its shareholders are afforded the same rights and opportunity to participate in the annual meeting as they would at an in-person meeting. To be admitted to the annual meeting, please visit www.virtualshareholdermeeting.com/AWK2020. Shareholders or their legal proxies must enter the 16-digit control number found on their proxy card, voting instruction form or other proxy materials. Online access to the virtual meeting will open 15 minutes before the start time. Once admitted, attendees may participate in the virtual annual meeting, submit questions related to the matters to be voted on at the meeting, vote or change a previously submitted vote, and view a list of shareholders of record as of the record date. The items of business to be considered at the annual meeting are the same as set forth in the meeting notice included in the proxy statement.

You will need a computer, or a web-enabled phone, tablet or other device, together with appropriate Internet access and your 16-digit control number, to attend the annual meeting.
Your vote is very important. Whether or not shareholders plan to attend the virtual annual meeting, American Water urges shareholders to vote and submit their proxies in advance of the meeting by one of the methods described in American Water’s proxy materials.
Members of the public without a control number will be able to access the virtual meeting in listen-only mode by visiting www.virtualshareholdermeeting.com/AWK2020. Shareholders and other persons without a 16-digit control number will not otherwise be able to participate in or vote at the annual meeting.
