Medpace Holdings, Inc. Announces Pricing of Secondary Offering of Common Stock by Selling Shareholder

CINCINNATI--()--Medpace Holdings, Inc. (Nasdaq: MEDP) (“Medpace”) today announced the pricing of the previously announced secondary offering of 4,000,000 shares of its common stock by investment funds affiliated with Cinven Capital Management (V) General Partner Limited (the “Selling Shareholder”) at a price to the public of $31.50 per share. In addition, the Selling Shareholder has granted the underwriters a 30-day option to purchase up to an additional 600,000 shares of common stock from the Selling Shareholder. Medpace has agreed to repurchase from the underwriters 2,000,000 shares of the 4,000,000 shares of common stock being sold by the Selling Shareholder at a price per share equal to the price per share paid by the underwriters to the Selling Shareholder with $60.3 million of borrowings under its senior secured revolving credit facility. As such, only 2,000,000 shares of the 4,000,000 shares of common stock being sold by the Selling Shareholder will be sold to the public. The offering consists entirely of secondary shares of common stock to be sold by the Selling Shareholder. Medpace will not receive any proceeds from the sale of the shares of common stock by the Selling Shareholder. The offering is expected to close on or about December 5, 2017 subject to customary closing conditions.
