vTv Therapeutics Inc. Announces Launch of Initial Public Offering

HIGH POINT, N.C.--()--vTv Therapeutics Inc. (the “Company”) today announced the launch of its initial public offering in the United States of 7,812,500 shares of its Class A common stock. The initial public offering price is currently expected to be between $15.00 and $17.00 per share of Class A common stock. The Company has submitted an application for listing on the NASDAQ Global Market and trading under the ticker symbol “VTVT.” The underwriters have the option to purchase from the Company up to an additional 1,171,875 shares of Class A common stock at the public offering price, less the underwriting discount, to cover over-allotments, if any.

The Company intends to use the net proceeds of the offering to fund the STEADFAST Study (its ongoing Phase 3 trial of azeliragon, a drug candidate for the treatment of Alzheimer's disease), further clinical development of its other drug candidates (including two drug candidates for the treatment of type 2 diabetes that are in or commencing Phase 2 studies) and for working capital and other general corporate purposes.

Piper Jaffray & Co. and Stifel are acting as joint book-running managers for the offering. In addition, Canaccord Genuity Inc. and Janney Montgomery Scott LLC are acting as co-managers for the offering. A registration statement relating to these securities has been filed with the U.S. Securities and Exchange Commission but has not yet become effective.
