DUBUQUE, Iowa--(BUSINESS WIRE)--Heartland Financial USA, Inc. (NASDAQ: HTLF) today announced the pricing of a private offering of $75 million aggregate principal amount of 5.75% Subordinated Notes due 2024 (the “Notes”), at par. The Notes were offered only to qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to institutional accredited investors in a manner exempt from registration under the Securities Act. The private offering is expected to close on December 17, 2014, subject to customary closing conditions.
The Company intends to use the net proceeds of the Notes for general corporate purposes, including but not limited to repayment of certain senior notes, payment of dividends, continued debt service and, potentially, acquisitions.
