Baylor, Scott & White Complete Merger; Combined Company Becomes Largest Not-for-Profit Health System in Texas

DALLAS & TEMPLE, Texas--()--The governing boards of Baylor Health Care System and Scott & White Healthcare announced today the completion of the merger of the two health systems to form the largest not-for-profit health system in the state of Texas.

The deal creates a new $8.3 billion* organization with the vision and resources to offer its patients continued exceptional care while creating a model system for an industry undergoing fundamental transformation.

The new Baylor Scott & White Health includes 43 hospitals, more than 500 patient care sites, more than 6,000 affiliated physicians, 34,000 employees and the Scott & White Health Plan. It will be guided by a combined team of leaders from both Baylor and Scott & White.

Joel Allison, chief executive officer of Baylor Health Care System, is now the chief executive officer of the new Baylor Scott &White Health. Robert Pryor, MD, president and chief executive officer of Scott & White Healthcare, is now president, chief operating officer and chief medical officer of Baylor Scott & White Health. Baylor Scott &White Health is based in Dallas and Baylor Scott & White Health Service company is based in Temple. The service company supports the new organization’s facilities by providing corporate functions such as human resources and information technology.

A unified board of trustees is comprised of 16 individuals with an equal number of representatives from each organization. Drayton McLane, Jr. serves as chair of the unified board. Jim Turner serves as chair-elect.

Baylor and Scott & White first announced the merger plans in December 2012 and signed a definitive agreement in June 2013.
