Under the proposed transaction, Nextwave shareholders will only receive $1.00 per share plus a contingent payment right representing a $25 million interest in an escrow fund, representing up to approximately $0.95 per share, well below at least one analyst’s estimated value of $10.00 per share.

The transaction is valued at approximately $600 million dollars.
The investigation centers on whether Nextwave shareholders are receiving adequate compensation for their shares in the buyout, whether the transaction undervalues Nextwave stock, and whether Nextwave’s board attempted to obtain the highest share price for all shareholders prior to agreeing to the deal. According to Yahoo! Finance, at least one analyst has estimated that the true inherent value of Nextwave/WAVE stock could be as high as $10.00 per share. “Due to the lack of a significant premium to the shareholders and other factors, we believe that the transaction may undervalue Nextwave stock.
