MOORESTOWN, N.J. & BERLIN, N.J.--(BUSINESS WIRE)--Sbar’s, Inc. (“Sbar’s”) and A.C. Moore Arts & Crafts, Inc. (NASDAQ: ACMR) (“A.C. Moore” or the “Company”) today announced the successful completion of the tender offer by Nicole Crafts LLC and Sbar’s Acquisition Corporation (“Purchaser”), affiliates of Sbar’s, for all of the outstanding shares of common stock of A.C. Moore for $1.60 per share, net to the seller in cash without interest. The tender offer expired, as scheduled, at 12:00 midnight, New York City time, at the end of Wednesday, November 16, 2011 and was not extended.
The depositary for the tender offer has advised that, as of the offer’s expiration, 21,504,096 shares of A.C. Moore common stock were tendered and not withdrawn pursuant to the Offer, representing approximately 84.5% of the outstanding shares. All of such shares have been accepted for payment by Purchaser in accordance with the terms of the tender offer. Pursuant to the previously announced merger agreement, Purchaser will effect a “short-form” merger under applicable Pennsylvania law, without the affirmative vote of any other A.C. Moore stockholder, which merger is expected to occur as soon as practicable. In the merger, Purchaser will be merged with and into A.C. Moore, with A.C. Moore surviving the merger and continuing as a wholly-owned subsidiary of Nicole Crafts LLC, an entity affiliated with Sbar’s. Upon completion of the merger, each outstanding share of common stock of A.C. Moore, other than shares held or owned by A.C. Moore or any of its subsidiaries or Nicole Crafts LLC or any of its subsidiaries, or any stockholder of A.C. Moore who has perfected its demand for dissenters’ rights under Pennsylvania law, will be automatically cancelled and converted into the right to receive cash equal to the $1.60 offer price per share without interest and less any required withholding taxes.
