HICKORY, N.C.--(BUSINESS WIRE)--Global alternative asset manager The Carlyle Group has completed the acquisition of CommScope, Inc. (NYSE: CTV), a global leader in infrastructure solutions for communications networks.
As previously disclosed, Marvin S. “Eddie” Edwards Jr., CommScope’s current president and chief operating officer, has been appointed president and chief executive officer, succeeding Frank M. Drendel. Drendel has served as CommScope’s CEO since founding the company in 1976. Edwards has also joined CommScope’s board of directors, and Drendel will continue as the chairman of the board.

CommScope stock ceased trading on the New York Stock Exchange prior to the opening of trading on Friday, January 14, 2011, and will be delisted. Under the terms of the merger agreement, CommScope stockholders are entitled to receive $31.50 per share in cash for each share of CommScope common stock that they hold. Letters of transmittal allowing CommScope stockholders of record to deliver their shares to the paying agent in exchange for payment of the merger consideration will be distributed shortly after the closing. Stockholders of record should be in receipt of the letter of transmittal before surrendering their shares. Stockholders who hold shares through a bank or broker will not have to take any action to have their shares converted into cash, as such conversions will be handled by the bank or broker.
