Dow Announces Results from Annual Stockholder Meeting
MIDLAND, Mich.--(BUSINESS WIRE)--Stockholders of The Dow Chemical Company (NYSE:DOW) today elected Arnold A. Allemang, Jacqueline K. Barton, James A. Bell, Jeff M. Fettig, John B. Hess, Andrew N. Liveris, Paul Polman, Dennis H. Reilley, James M. Ringler and Ruth G. Shaw to the Company’s Board of Directors for one-year terms during the Company’s 115th Annual Meeting.
Biographies for all directors may be found in the Proxy Statement or on www.dowgovernance.com. Independent directors comprise the substantial majority of the Board.
Stockholders also ratified the appointment of Deloitte & Touche LLP as the Company’s independent auditor for 2012.
In other business, preliminary voting results indicate that stockholders have approved an advisory vote on executive compensation and two management-sponsored proposals related to Dow’s employee equity incentive and stock purchase plans.
Preliminary voting results also indicate that two stockholder-sponsored proposals have been defeated: one regarding shareholder action by written consent, and another requesting a policy requiring an independent board chairman.
The final voting results on all agenda items will be available in a Form 8-K to be filed by the Company and at www.dowgovernance.com after certification by the Company’s inspector of elections. The meeting is available via webcast on Dow’s website.
