SWINDON, United Kingdom--(BUSINESS WIRE)--Sensata Technologies Holding plc (NYSE: ST) (“Sensata Technologies”) today announced that its indirect wholly owned subsidiary, Sensata Technologies B.V. (the “Issuer”), intends to redeem in full all $700,000,000 in aggregate principal amount of its outstanding 5.000% Senior Notes due 2025 (the “Notes”). The redemption will be made in accordance with the terms of the indenture governing the Notes and the terms of the notice of redemption being delivered to all registered holders of the Notes.
The Issuer expects to redeem the Notes on July 15, 2024 (the “Redemption Date”) at a redemption price equal to 100.000% of the aggregate principal amount of the outstanding Notes, plus the Applicable Premium (as defined in the indenture governing the Notes), plus accrued and unpaid interest to (but not including) the Redemption Date (the “Redemption Price”). The Redemption Price will be due and payable on the Redemption Date upon surrender of the Notes.
The notice of redemption is being delivered to all registered holders of the Notes by The Bank of New York Mellon, the trustee for the Notes (the “Trustee”). Copies of the notice of redemption may be obtained from the Trustee by calling 1-800-254-2826.
