Cotiviti Announces Secondary Public Offering

ATLANTA--()--Cotiviti Holdings, Inc. (NYSE:COTV), a leading payment accuracy provider to the healthcare and retail industries, (“Cotiviti” or the “Company”) today announced that certain stockholders of the Company (the “Selling Stockholders”) intend to offer 10,000,000 shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), in an underwritten public offering. In addition, the underwriters have been granted a 30-day option to purchase up to an additional 1,500,000 shares of Common Stock at the public offering price, less underwriting discounts and commissions. The offering consists entirely of secondary shares to be sold by the Selling Stockholders. The Selling Stockholders will receive all of the proceeds from the offering.

Goldman, Sachs & Co. and J.P. Morgan are serving as joint lead book-running managers and as representatives of the underwriters for the proposed offering. Barclays, Citigroup, Credit Suisse, Morgan Stanley and SunTrust Robinson Humphrey are acting as joint book-running managers for the proposed offering. Baird, William Blair and Leerink Partners are acting as co-managers for the proposed offering.
