(“T-Mobile USA”), a wholly-owned subsidiary, plans to offer, subject to market and other conditions, $1,000,000,000 aggregate principal amount of Senior Notes due 2024 in a registered public offering. T-Mobile expects to use the net proceeds from this offering for the purchase of 700 MHz A-block spectrum and other spectrum purchases.
