Leading Payments Platform Company Will Apply to List on NASDAQ

KING OF PRUSSIA, Pa. & PHILADELPHIA--()--FTS Holding Corporation, the parent company of CardConnect®, LLC, a payment processing and technology solutions provider, and FinTech Acquisition Corp. (NASDAQ: FNTC), announced today that they have entered into a definitive merger agreement, whereby FNTC will acquire CardConnect and will be renamed CardConnect Corp. The merged company will apply to continue the listing of its common stock on the Nasdaq Stock Market under the ticker symbol “CCN.” Post transaction, the CardConnect management team will continue to lead the company. CardConnect is currently majority owned by FTV Capital, a leading growth equity investor in high-growth payments and transaction processing companies.

Summary of Merger

FNTC will acquire CardConnect for aggregate consideration of approximately $180 million in cash and $170 million in FNTC common stock. The cash portion of the consideration will be funded by a combination of cash held in trust by FNTC, borrowings under a new $100 million first lien credit facility and a $40 million second lien secured credit facility, and $30 million in equity financing. FNTC will also repay approximately $62 million in debt outstanding under CardConnect’s existing credit facility upon closing of the merger.

The merger is expected to close in June 2016, pending FNTC stockholder approval, the receipt of proceeds from the proposed financing activities and other customary closing conditions.
