Graham Holdings Company Announces Closing of Cable ONE's Senior Notes Offering

ARLINGTON, Va.--()--Graham Holdings Company (NYSE: GHC) announced today that its wholly owned subsidiary, Cable ONE, has completed a private offering of $450 million aggregate principal amount of 5.750% senior unsecured notes due in 2022. Graham Holdings will not be a guarantor or otherwise provide credit support for the notes.

Cable ONE intends to use the net proceeds from the offering, together with cash on hand, to pay a special one-time cash dividend to Graham Holdings of approximately $450 million in connection with the previously announced intention to separate Cable ONE from Graham Holdings.

The notes have not been, and will not be, registered under the United States Securities Act of 1933, as amended, or the securities laws of any state or other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and any other applicable securities laws.
