In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges that defendants misrepresented and/or failed to disclose that: a) Aegerion marketed its drugs in violation of the FDCA; b) due to this violation, Aegerion faced heightened regulatory scrutiny by the FDA and other governmental bodies; and c) as a result of the above, Aegerion’s statements were materially false and misleading at all relevant times. According to the complaint, Aegerion’s stock price dropped dramatically after the true facts were revealed.
