Andina Acquisition Corporation Announces Separation of Units

NEW YORK--()--Andina Acquisition Corporation (NASDAQ: ANDA; ANDAW; ANDAU) (“Andina”) today announced that effective November 25, 2013 (“the Effective Date”) its currently traded units (NASDAQ: ANDAU), which were sold in its initial public offering, will cease to exist and be mandatorily separated into their component parts: one ordinary share of Andina, par value $.0001, and one warrant to purchase one ordinary share of Andina.

On the Effective Date, trading in the units will be suspended and all units will be automatically separated into their component parts and each unit holders’ account, in lieu of the units, will reflect ownership of the ordinary shares and warrants. Following the separation, the ordinary shares and warrants will continue to trade on the NASDAQ.

The foregoing action is being taken pursuant to the terms of the Merger Agreement.

As announced on August 19, 2013, Andina and privately-held Tecnoglass S.A. and C.I. Energia Solar S.A. E.S. Windows (collectively, “Tecnoglass”) have entered into a Merger Agreement that will allow Tecnoglass to go public, with the current owners of Tecnoglass retaining majority ownership and control. Headquartered in Barranquilla, Colombia, Tecnoglass is a leading manufacturer of hi-spec, architectural glass and windows for the global residential and commercial construction industries.
