CHONGQING, China--(BUSINESS WIRE)--Daqo New Energy Corp. (NYSE: DQ) ("Daqo New Energy" or the "Company"), a leading polysilicon manufacturer based in China, today announced the appointment of Mr. Mingsong Liang and Mr. Shuming Zhao as independent directors and the resignation of Mr. Greg W. Ye and Mr. Dafeng Shi from the board of directors.
Mr. Mingsong Liang is a co-managing partner of CLA Partners, a boutique investment banking firm in China. Mr. Liang has a Ph.D. degree in economics from the University of Michigan at Ann Arbor and a J.D. degree from New York University. Mr. Liang also serves on the audit committee of the board. Mr. Shuming Zhao is the dean of school of business at Nanjing University. Mr. Zhao also serves as the chairman of the corporate governance and nominating committee of the board, replacing Mr. Xiang Xu, who steps down from the corporate governance and nominating committee but remain as a director. The appointments and the changes on the committee composition became effective on October 6, 2011. As a result of these changes, Daqo New Energy now has a majority independent board and fully independent audit committee, compensation committee and nominating and corporate governance committee, and is in full compliance with applicable SEC and NYSE rules regarding the board and committee composition.
